Terms of Use

1. Acceptance of Terms

By accessing or using the eSUMS platform, forecast services, or any other services provided by Asoba Corporation and LTM Holdings (collectively, "Services"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Services.

2. Description of Services

Asoba provides energy intelligence services including solar generation forecasting, asset performance analytics, and data standardization. The freemium forecast service ("eSUMS Free Forecast") allows users to upload historical energy data and receive a 24-hour generation forecast at no cost, subject to monthly usage limits.

3. User Data and Privacy

When you use our Services, you may provide:

• An email address for verification and account identification
• Site information (name, location) for forecast context
• Historical energy generation data (CSV files) for forecast generation

Your data is processed in accordance with our Privacy Policy. Uploaded data is stored in AWS infrastructure in the af-south-1 (Cape Town) region. We do not sell your data to third parties.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to bypass rate limits or access controls
• Upload malicious files or data intended to compromise the system
• Reverse-engineer, decompile, or disassemble any part of the Services
• Share verification codes or access credentials with unauthorized parties

5. Forecast Accuracy Disclaimer

Forecasts are generated using pre-trained machine learning models and are provided on an "as-is" basis. Asoba makes no warranty regarding the accuracy, completeness, or fitness for a particular purpose of any forecast. Forecasts should not be the sole basis for operational or financial decisions without independent verification.

6. Intellectual Property

The Services, including all software, models, algorithms, and documentation, are the intellectual property of Asoba Corporation. Your uploaded data remains your property. By uploading data, you grant Asoba a limited, non-exclusive license to process the data for the purpose of providing the requested Services.

7. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. The freemium service is subject to monthly usage limits and may be modified or discontinued at any time with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by law, Asoba shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of revenue, data, or business opportunity.

9. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of Johannesburg, Gauteng.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email to registered users.
